We may collect certain health information from you to provide and tailor our services effectively. This information is classified as a special category of personal data under applicable data protection laws, including the UK GDPR.

Location services/data

The Services will request your consent to use location services to precisely identify your location each session (i.e. each time the Services is opened or has been placed in the background for more than 30 seconds). We require access to that data in order to provide you with localised information as part of the Services.

If you do not provide your consent, you may use the Services but that will mean the “maps” feature on the Services will not be available. To withdraw your consent at any time you can turn off the localisation permissions for our Website on your device.

The location services in the Services will not operate unless location services/data are generally enabled on your device. You may disable such functionality at any time by turning your device’s location on “off” using the device’s settings app. When you allow your device to use location services/data, data will also be collected by Google in accordance with their Privacy Policy, as this is the map service we integrate to our app.

We collect personal data from you directly when you sign up to the Services, contact us directly or reach out to us via social media, make submissions via the Services when a forum element is available, or indirectly, such as your activity while using the Services.

Who we share your personal data with

We routinely share personal data with service providers we use to help us run our business or provide the services or functionalities in the Services, including web developers, cloud storage providers and Google, Inc. for Google Maps location functionality. We use the following processors to process your personal data as part of our Services:

We only allow service providers to handle your personal data if we are satisfied they take appropriate measures to protect your personal data. We also impose contractual obligations on service providers to ensure they can only use your personal data to provide services to us and to you.

We or the third parties mentioned above may occasionally also need to share your personal data with:

We will not share your personal data with any other third party.

How long your personal data will be kept

We will keep your personal data for as long as you have an active account with us and for a period of up to 6 years thereafter to comply with any accounting or legal obligations including in the event of the pursuit or defence of legal claims. Once you have closed your account with us, we will move your personal data to a separate database so that only key stakeholders in our business on a ‘need to know basis’ have access to such data.

Following the end of the aforementioned retention period, we will delete or anonymise your personal data.

Transferring your personal data out of the UK

Under UK data protection laws, we can only transfer your personal data to a country outside the UK where: the UK government has decided the particular country ensures an adequate level of protection of personal data (known as an ‘adequacy regulation’) further to Article 45 of the UK GDPR; there are appropriate safeguards in place, together with enforceable rights and effective legal remedies for you; or a specific exception applies under relevant data protection law. RETREAT TERMS AND CONDITIONS

These terms and conditions apply to all trips or retreats we offer (Retreats) via our website [www.auroraretreats.co.uk] (Website), including any ancillary services we provide as part of the Retreat (Services).

YOUR KEY INFORMATION

The Consumer Rights Act 2015 (applicable in the United Kingdom) requires that all Services available on the Website are as described, fit for purpose and of satisfactory quality and so nothing in these terms affects statutory rights.

In accordance with the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013, bookings for retreats or other leisure activities scheduled on specific dates are not subject to the 14-day cooling-off period. Once your Booking (as defined below) is confirmed, our cancellation policy as outlined below will apply.

RETREATS
1. RETREAT inclusions
  1. We offer various Retreats as set out on our Website.
  2. Each Retreat will only include the inclusions as set out on our Website at the time of placing a Booking (as defined in clause 2.1(a)).
  3. At the time of placing a Booking, you will have the opportunity to review the inclusions/exclusions of each Retreat, including the schedule and dates.
  4. Flights and other transportation to the Retreat (unless otherwise specified in writing) are not included in your Booking. You are responsible for arranging your own transportation to the Retreat, including, if the Retreat is located outside of the United Kingdom, arranging any necessary passport, visa or travel permit required to travel to that location.
2. RETREAT variations
  1. We reserve the right, at any time and without prior notice, to alter, reschedule, or vary the schedule of the Retreat. This includes, but is not limited to, changes to the advertised schedule, activities or programs operated at the Retreat, venue(s), accommodation arrangements and any other ticket categories. Such changes may be necessary due to factors beyond our control, including but not limited to adverse weather conditions, staff availability, or considerations relating to the physical fitness, health, or safety of the clients. In the event of such alterations or rescheduling, we will endeavour to provide suitable alternatives of equivalent value where possible. However, you shall bear any costs, expenses, or losses incurred as a result of such changes.
  2. We may need to reschedule the dates of the Retreat in certain circumstances – where the Retreat is rescheduled to a new date (Rescheduled Retreat), you may either:
    1. Attend the Rescheduled Retreat; or
    2. If you are unable to attend the Rescheduled Retreat, we will issue you with a refund of the Fees paid for the Retreat.
  3. To the extent permitted by law, where we cancel or vary a Retreat, we will not be liable for any other loss, damage, charge or expense (including special, incidental or consequential) incurred by you as a result of such cancellation or variation including without limitation the costs of any travel to the Retreat. You incur such expenses at your own risk.
3. MEALS AND ACCOMODATION
  1. If the Retreat includes food and drinks to be provided this will be stated on our Website. You agree that:
    1. the meals may be provided by third parties service providers (e.g. restaurants or hotels) and you are responsible for confirming with that service provider that they are suitable for your consumption based on your personal dietary requirements;
    2. you must notify us at the time you make a Booking as set out in clause 1 if you have any food allergies, intolerances, medical conditions or other dietary requirements; and
    3. while we will use our best endeavours to ensure all meals consider food allergies and intolerances, we cannot guarantee any meals will be suitable and you will be responsible for confirming this with the third party service providers and/or making alternative arrangements.
  2. If alcoholic beverages are included as part of the Retreat:
    1. we do not condone excessive or binge drinking and promote responsible drinking of alcohol;
    2. you must always abide by laws regarding lawful drinking practices;
    3. you must not participate in any physical activities at the Retreat while under the influence of alcohol or any other drugs or illicit substances as those substances impair your ability to participate safely and may result in significant injury or death to you or others; and
    4. we reserve the right to refuse your further participation in the Retreat if we suspect that you have not complied with this clause (in which case you will not be entitled to any refund).
  3. If the Retreat includes accommodation, you acknowledge and agree that the accommodation is a shared space (which may be occupied by other parties not affiliated with the Company) and you are responsible for ensuring your own safety and bringing any additional items you may need during the Retreat.
  4. For the purposes of these, “Full Board” shall be defined as the provision of 3 meals per day, specifically breakfast, lunch, and dinner, and shall apply exclusively to full retreat days. On the official arrival day, only a welcome dinner shall be provided, and on the official departure day, only breakfast shall be included as part of the retreat cost. This provision applies solely to the Retreat’s official arrival and departure days, as specified in the Retreat schedule based on the Booking. No additional meals shall be provided outside of these specified times unless otherwise agreed in writing.
4. ATTENDEE CONDITIONS
  1. You may be denied entry into the Retreat, or removed from the Retreat if you fail to follow these terms or where we have reasonable grounds to do so including (without limitation) where we believe that you have engaged in any illegal or disruptive activities, you are intoxicated, under the influence of illicit substances, represent a security risk, or have acted in a manner which affects the enjoyment of the other attendees at the Retreat or the public. If you are removed or denied entry from the Retreat you will not be entitled to any refund.
  2. You acknowledge at all times you are solely responsible and liable for your own behaviour and wellbeing while participating in any activities at the Retreat and you must comply with these terms at all times.
  3. The Retreat is also subject to any additional terms and conditions of the owner or licensor of the venue at which the Retreat is held (if any). Admission to the Retreat is subject to any of the venue conditions. You agree to comply with all reasonable instructions issued by us or by the owner or licensor of the venue.
BOOKING A RETREAT
1. By booking a Retreat using the Website’s functionality (Booking) you represent and warrant that:
  1. you have the legal capacity to enter into a binding contract with us;
  2. you are at least 18 years of age; and
  3. you are authorised to use the debit or credit card you provide with your Booking.
2. Making a Booking constitutes your intention and offer to enter into a contract with us where we will provide you with the Retreat you have booked in exchange for your payment of the total amount listed upon checkout.
3. When making a Booking, you will be required to fill out a form completed via our Website, (Booking Form), including information such as:
  1. your basic information; and
  2. the Services we will provide you.
4. A Booking will only be confirmed and legally binding once both you have paid the Fees in accordance with clause 5(d). Once the Booking is confirmed, it constitutes a legally binding agreement between you and us, governed by these terms outlined in the Booking Form and these terms. We will send you a confirmation email to the address you provide, and it is your responsibility to check that all Booking details are correct.
5. For clarity, until the Booking is confirmed in this way, no provisional booking or reservation is legally binding on either party. We cannot guarantee availability on your preferred dates until the Booking is fully concluded.
6. We understand that everyone is unique and has their own preferences, sensitivities and history. If there is anything that you think we should know about you before you attend the Retreat, please let us know so that we can accommodate your needs to the best of our ability. This includes:
  1. any previous or current medical conditions, illnesses or injuries;
  2. any allergies, intolerances or dietary requirements; and
  3. anything else that affects your health, wellbeing or behaviour.
7. We reserve the right to refuse to provide the Retreat (by cancelling your Booking and refunding any Fees paid) to any person we deem unfit or unsafe for the Retreat, in our sole discretion.
8. You represent and warrant that:
  1. the information you have provided is accurate and up-to-date;
  2. you will provide us with any of your pre-existing health conditions; and
  3. you will notify us as soon as reasonably practicable if any of your circumstances change.
9. You warrant that any information you give to us in the course of making a Booking will always be accurate, honest, correct and up to date.
10. If we discover that any of the information you have supplied to us is inaccurate, we may, at our discretion, refuse to provide the Services to you.
DISCLAIMER
1. RISK
  1. You acknowledge and agree that your participation and attendance at a Retreat is at your own risk. We provide each Retreat (including any Services) on an “as-is” basis and whilst every effort is made to ensure the information provided through the Retreat is accurate, we make no representations and give no warranties about the currency, suitability, reliability, availability, timeliness and/or accuracy of anything contained in the Services and each Retreat for any purpose.
  2. You acknowledge and agree that any information made available in connection with the Retreat is general in nature and does not constitute medical, legal, financial, business or any other type of advice. Any information provided to you and in any linked or referred to materials or websites is not and should not be construed as medical, legal, financial or business advice. Information provided during the provision of the Services and each Retreat by us and our associated companies, staff, presenters and volunteers is for educational and informational purposes only.
  3. The Services may provide support, guidance and tools to assist you to participate in parts of the Retreat, but any decision you make, and the consequences that flow from such decisions, are your sole responsibility. We will not be responsible for any decisions that you make, nor any loss, damage, charge or expense (including special, incidental or consequential) that may arise out of any decision made by you at any time.
  4. Nothing on the Website or any of the Services is a promise or guarantee of results or future earnings. Any information given (including case studies) is purely based on experience and is for illustrative purposes only. Information provided may not always be tailored specifically for your personal or business needs. You understand that because of the nature and extent of the Services, the results experienced by each person may significantly vary.
  5. Any testimonials and examples within any marketing materials are not to be taken as a guarantee that you will achieve the same or similar results.
  6. You should not rely on any information contained in the Services in making medical, health-related, business, legal or financial decisions.
  7. The Retreat may include physical activities and your participation in the Retreat includes the risk of physical injury which may be serious and disabling.
  8. Before participating in any activity, you must evaluate whether your current skills and physical condition allow you to participate in a safe manner.
  9. If you have any injuries or medical conditions, including pregnancy, you must inform the Company before the Retreat or the start of any class, lesson or activity forming part of the Retreat. You must not participate in the Retreat if your participation in any classes, lessons or activities may increase your risk of further injury or if it is unsafe for you.
  10. You assume full risk and responsibility for your participation in the Retreat. You acknowledge and agree that none of the staff at the Company are medical professionals and should not be relied on as such. If at any time you feel dizzy, faint, unwell, discomfort or pain, you must stop participating in the class, lesson or activity.
  11. If you sustain an injury, you must immediately stop participating in the class, lesson or activity and seek medical attention.
  12. If you notice an unsafe situation during a class, lesson or activity or notice another participant with an injury, you must immediately notify the Company or its authorised representative.
  13. You are responsible for bringing any equipment or additional items you need for the Retreat. We will not be responsible for any loss, damage or theft of any of your equipment or other items that you bring with you to the Retreat.
  14. You acknowledge and agree that, during the Retreat, the Company may request that you sign an additional waiver or any other document prior to participating in any class, lesson or activity.
2. CLIENT REPRESENTATIONS
  1. You acknowledge and warrant that you:
    1. understand the risks and requirements of the activities that you will participate in as part of the Retreat and your Booking;
    2. possess the necessary fitness and are physically able to participate in all activities that form part of the Retreat; and
    3. do not have any medical conditions or mobility issues which may affect your ability to participate in the activities including in a Retreat which have not been notified to the Company.
  2. You acknowledge that the Company may, in their discretion, refuse to allow you to participate in an activity if they do not believe that you are fit to participate and may not offer you a refund of any Fees paid by you in respect of all or part of the Booking.
  3. You shall be responsible for any damage caused to the venue(s), including its décor, fixtures, fittings, and contents. In the event of any damage or loss, you agree to pay us the full cost of any necessary repairs or the replacement value of any damaged or missing items. Such charges shall be reasonable and reflect the actual costs incurred by us in rectifying the damage or replacing the items. Payment of these charges shall be made within 7 days of receiving written notice from us detailing the damage and associated costs.
  4. The Retreat shall be deemed to conclude at 10:00 am on the official day of departure, as specified by the Company. All guests must vacate their rooms and the venue by no later than 10:00 am on the agreed departure date, in accordance with the venue’s check-out policy. Check-in on the official arrival day is permitted from 4:00 pm onwards, unless otherwise stated in writing. Guests are requested not to arrive before the designated check-in time, as early access to the venue or accommodation cannot be guaranteed.
TRAVEL OBLIGATIONS

If you are attending a Retreat which requires you to travel internationally to the destination where the Retreat is being held, this clause 4 will apply.

PASSPORT AND VISA
1. You acknowledge and agree that all travellers in connection with a Booking must have a valid passport, and if applicable, a valid visa, or other travel permit, for international travel.
2. You acknowledge and agree that:
  1. it is solely your responsibility to ensure that you have a passport and/or visa that complies with any entry and exit requirements of the countries you intend to travel to;
  2. you will advise us at the time of making your Booking, if you do not have a valid passport, visa or other travel permit for the destination you intend to travel to;
  3. any information we provide to you regarding passport and/or visa requirements are of general nature only and should not be relied upon you as professional advice; and
  4. the Company will not be liable to you for any losses whatsoever that you incur in connection with any issues with your passport and/or visa, including but not limited to fines, penalties, ticket cancellations or denied entry into a country.
INSURANCE
1. Unless explicitly stated otherwise, travel and medical insurance is not included as part of your Booking.
2. Please note that it is a condition of Booking the Retreat that you obtain and maintain appropriate travel, medical and cancellation insurance to cover any potential losses, including but not limited to, cancellation, illness, injury, accident or loss of personal belongings. Proof of such insurance must be provided upon request. Failure to secure and maintain this insurance may result in the cancellation of your booking, with no entitlement to a refund or compensation.
Fees and PAYMENT
1. The price of a Retreat is that stated on the Website or quoted to you by us at the time of submitting a Booking.
2. All Fees are:
  1. as displayed and accepted by you at the time of checkout;
  2. in Pounds Sterling unless otherwise indicated; and
  3. subject to change without notice prior to your Booking (Fees).
3. You must pay the Fees in the amounts, and on or before the due dates, set out at the time of placing a Booking and/or on an invoice issued by us to you (Invoice).
4. At the time of Booking, you must either (i) pay the full amount, (ii) use an available 'Buy Now, Pay Later' option (such as Klarna), or (iii) pay a deposit (Deposit) followed by instalments. Whichever option you choose, the full payment must be received prior to the Retreat start date. If full payment is not received on time, you will not be permitted to attend the Retreat. The Deposit secures your spot on the Retreat and is not refundable for change of mind.
5. The full Fee shall be due no later than 6 weeks prior to the start date of the Retreat. Unless otherwise agreed in writing between the parties or via email at the time of Booking confirmation, the entire amount of the Fee must be paid in full no later than 4 weeks before the start date of the Retreat.
6. We will issue a final Invoice to you for the payment of any remaining Fees. You must pay the Fees in accordance with the remittance method set out in an Invoice. If you fail to make a payment of the Fees when they become due, including by any dates specified when you make a Booking or as indicated in the final Invoice, we reserve the right to cancel your Booking in accordance with clause 6.2(b)(i). In such circumstances, we shall be entitled to re-sell the Retreat spot/ place, and any Fees paid by you up to that date shall be retained by us and shall be non-refundable.

We reserve the right to charge a late payment fee to you or any guest under your Booking who fails to make full payment within the time frame specified in this clause 5. A late payment fee of £50.00 per person shall be applied and must be paid in addition to the outstanding balance of the Fees.
We may use third-party payment providers (Payment Providers) to collect payments for bookings, for instance Klarna and Stripe. The processing of payments by the Payment Provider will be, in addition to these terms, subject to the terms, conditions and privacy policies of the Payment Provider and we are not liable for the security or performance of the Payment Provider. We reserve the right to correct, or to instruct our Payment Provider to correct, any errors or mistakes in collecting your Fees. Stripe’s terms are available at https://stripe.com/gb/legal and Klarna’s terms are available at https://www.klarna.com/uk/terms-and-conditions.
You acknowledge and agree that:
1. the prices are set by the Company and subject to availability, and changes based on factors such as currency fluctuations and accommodation price variations;
2. subject to sub-clause (i) above, we may vary or withdraw a price at any time without prior notice to you before the commencement of a Retreat;
3. prices quoted are based on the information which you submit to us, and we may vary the prices, if that information is incorrect; and
4. the price we quote to you is only guaranteed once you pay for a Booking in full and we confirm your Booking and the price in writing.
In the event that we discover an error or inaccuracy in the price at which your Booking was purchased, we will attempt to contact you and inform you of this as soon as possible. You will then have the option of purchasing your Booking at the correct price or cancelling your Booking. If you choose to cancel your Booking and payment has already been debited, the full amount will be refunded back to you in accordance with our Payment Providers refund policy.
All refunds, cancellations, or requests for date changes are subject to an administrative fee of £50.00, in addition to any associated bank charges incurred during the transaction process. This fee will be deducted from any refund amount due. This administrative fee shall not apply in the event that the Retreat is cancelled by us. In such cases, you will be entitled to a full refund of any amounts paid, without the deduction of administrative fees or bank charges.
cancellation
1. CANCELLATION BY YOU
  1. You may cancel your Booking by written notice to us (Notice). Any cancellation of this agreement shall be subject to the following terms and associated cancellation charges, based on the number of days before the official Retreat start date.
  2. Less than 60 days before the Retreat start date: If the Notice is received by us less than 60 days prior to the start date of the Retreat, no refund will be provided, and no transfer of the Booking will be permitted. Any requests for transfers to a future Retreat will be considered on a case-by-case basis and are at the sole discretion of the Company.
  3. 60 days or more before the Retreat start date: If the Notice is received by us 60 days prior to the Retreat start date, you may be entitled to:
    1. a partial refund of 50% of the Fees paid (excluding the Deposit, which is non-refundable); or
    2. a request to transfer your booking to a future Retreat within 12 months of the cancellation, subject to our discretion and availability.
  4. Cancellations made less than 60 days before the Retreat start date are not eligible for a refund or transfer. Any transfer requests will be considered on a case-by-case basis and are at our sole discretion.
  5. If you fail to attend all or part of a Retreat for any reason whatsoever without providing the required Notice under this clause, you will not be entitled to any refund or credit.
2. CANCELLATIONS BY US
  1. If we are required to cancel or reschedule a Retreat before the Retreat begins, we will notify you as soon as possible. If we cancel a Retreat under this clause 6.2(a), we will refund any Fees (including the Deposit) paid.
  2. We shall be entitled to cancel the Booking with immediate effect and without any obligation to provide a refund in the following circumstances:
    1. You fail to make payment of any sums due under this agreement by the applicable due date as stated in the final Invoice issued under clause 5(f), and such payment remains outstanding and due for a period of 14 days from the date of such final Invoice;
    2. You fail to provide, within a reasonable time of our written request, any information necessary for us to fulfil the Booking and/or provide any services related to it;
    3. You commit a material breach of any provision of these terms and, where such breach is capable of remedy, you fail to remedy the breach within 14 days of receiving written notice from us requiring you to do so.
INTELLECTUAL PROPERTY

You acknowledge and agree that:

we own all rights, title and interest in and to all material associated with a Retreat (including any material developed during the course of an Retreat and the Intellectual Property contained therein), such as the content of any classes or programs (Materials); and
you will not copy, reproduce, alter, modify, create derivative works, make available online or electronically transmit, publish, adapt, distribute, transmit, broadcast, display, sell, license, or otherwise exploit the Materials except with our prior written permission or the relevant third party authorised to grant such permission and when doing so you must adequately acknowledge us or the relevant third party.

For the purposes of this clause, “Intellectual Property” means all intellectual property rights, including without limitation inventions, patents, copyright, trademarks, know-how, processes, concepts, and any application or right to apply for registration of any of these rights throughout the world whether registered or unregistered and whether developed before or after the date of these terms.

Photos & Filming Consent
1. You acknowledge and agree that we (or an authorised agent of ours) may take photos and/or videos of you including your participation in any classes, lessons, activities or attendance at a Retreat.
2. You authorise and consent to us using any photograph or video taken of you participating in the classes, lessons, activities or attending the Retreat, for any purpose including for promotional and marketing purposes of future events.
THIRD PARTY CONTENT

The Website may contain text, images, data and other content provided by a third party and displayed on the Website (Third Party Content). The Company accepts no responsibility for Third Party Content and makes no representation, warranty or guarantee about the quality, suitability, accuracy, reliability, currency or completeness of Third Party Content.

THIRD PARTIES
1. THIRD PARTY TERMS
  1. If we need to acquire goods or services supplied by a third party, you may be subject to the terms and conditions of that third party, such as accommodation and food providers (Third Party Terms).
  2. Provided that we have notified you of such Third Party Terms and provided you with a copy of those terms (for example, a link on our Website or otherwise set out in these terms), you agree to any Third Party Terms applicable to any goods or services supplied by a third party that we use to provide you with the Website or any services related to Website and we will not be liable for any loss or damage suffered by you in connection with such Third Party Terms.
2. Third party providers

To the extent permitted by law, neither we nor any of our directors or employees are liable for any loss or damage suffered by you in connection with third party providers over whom we have no direct control. This includes without limitation the provider of any venue or catering.

Where other materials (including food or drink items) are provided by a third party provider (even when included as part of the Retreat inclusions):

other materials are not endorsed by us in anyway (except where we otherwise expressly advise);
we do not take steps to verify the accuracy, completeness or otherwise of other materials and as such provide no warranty or representations of other materials;
we are not responsible for any other materials;
with respect to food or drink items:
1. actual nutrient values, information and serving sizes labelled on the items are provided by a third party unrelated to us and we are not liable for such;
2. information provided by a third party is approximate and intended to be used as a guide only;
3. we do not guarantee that any food or drink is safe to consume, and you consume such at your own risk; and
4. no allergen or nutritional information provided by a third party should ever be considered a guarantee, and we will not be liable for any loss or damage arising in connection with adverse reactions to food or drink consumed or other items you may come into contact within connection with the Services.
YOUR OBLIGATIONS

You must not:

copy, mirror, reproduce, translate, adapt, vary, modify, sell, decipher or decompile any part or aspect of the Website without the express consent of the Company;
use the Website for any purpose other than the purposes of browsing, selecting a Retreat;
use, or attempt to use, the Website in a manner that is illegal or fraudulent or facilitates illegal or fraudulent activity;
use, or attempt to use, the Website in a manner that may interfere with, disrupt or create undue burden on the Website or the servers or networks that host the Website;
use the Website with the assistance of any automated scripting tool or software;
act in a way that may diminish or adversely impact the reputation of the Company, including by linking to the Website on any other website; and
attempt to breach the security of the Website, or otherwise interfere with the normal functions of the Website, including by:
1. gaining unauthorised access to Website accounts or data;
2. scanning, probing or testing the Website for security vulnerabilities;
3. overloading, flooding, mailbombing, crashing or submitting a virus to the Website; or
4. instigate or participate in a denial-of-service attack against the Website.
CONFIDENTIALITY

You agree that:

no information owned by us, including system operations, documents, marketing strategies, staff information and client information, may be disclosed or made available to any third parties; and
all communications involving the details of other users on the Website or other participants of the Retreat are confidential and must be kept as such by you and must not be distributed nor disclosed to any third party.
PRIVACY

You agree to be bound by the clauses outlined in our Privacy Policy, which can be accessed here: www.auroraretreats.co.uk.

liability and indemnities
1. (Limitation of liability) To the maximum extent permitted by applicable law, the Company excludes completely all liability to any person for loss or damage of any kind, however arising whether in contract, tort (including negligence), statute, equity, indemnity or otherwise, arising from or relating in any way to the Website or any Services. This includes the transmission of any computer virus.
2. Nothing in these terms shall exclude or limit a party’s liability for fraud or intentional unlawful conduct by a party, or death or personal injury resulting from a party’s negligence.
3. (Indemnity) You agree to indemnify the Company and its employees and agents in respect of all liability for loss, damage or injury which may be suffered by any person arising from you or your representatives’:
  1. breach of any term of this agreement;
  2. negligent, fraudulent or criminal act or omission; or
  3. use of the Website, or receipt of the Services (including attendance at any Events or Retreats).
4. (Consequential loss) To the maximum extent permitted by law, under no circumstances will the Company be liable for any incidental, special or consequential loss or damages, or damages for loss of data, business or business opportunity, goodwill, anticipated savings, profits or revenue arising under or in connection with this agreement or their subject matter (except to the extent this liability cannot be excluded at law).
5. To the extent that the provisions of any applicable law shall impose restrictions on the extent to which liability can be excluded under agreement including, for the avoidance of doubt, the provisions of sections 3, 6 and 11 of the Unfair Contract Terms Act 1977 in the UK (and its equivalent in any other jurisdiction) relating to the requirement of reasonableness, the exclusions set out in this clause shall be limited in accordance with such restrictions. However, any exclusions of liability that are not affected by such restrictions shall remain in full force and effect.
if the parties have a dispute
1. complaints procedure

In the event of any issue arising during the Retreat or related services, you must promptly report the matter to the Retreat manager in the first instance. If the issue remains unresolved, it must be escalated immediately to the Director of the Company by submitting the complaint in writing within 7 days of the conclusion of the Retreat or services, to allow all reasonable efforts to resolve the problem promptly and effectively. Failure to provide written notice within this timeframe shall preclude you from pursuing any further action or claim against the Company in relation to the matter.

dispute resolution

A party claiming that a dispute has arisen under or in connection with this agreement must not commence court proceedings arising from or relating to the dispute, other than a claim for urgent interlocutory relief, unless that party has complied with the requirements of this clause.
A party that requires resolution of a dispute which arises under or in connection with this agreement must give the other party or parties to the dispute written notice containing reasonable details of the dispute and requiring its resolution under this clause.
Once the dispute notice has been given, each party to the dispute must then use its best efforts to resolve the dispute in good faith. If the dispute is not resolved within a period of 14 days (or such other period as agreed by the parties in writing) after the date of the notice, any party to the dispute may take legal proceedings to resolve the dispute.
FORCE MAJEURE
1. A ‘Force Majeure Event’ means any occurrence beyond the control of the Affected Party which prevents the Affected Party from performing an obligation under this agreement (other than an obligation to pay money), including any:
  1. act of God, lightning strike, meteor strike, earthquake, storm, flood, landslide, explosion or fire;
  2. strike or other industrial action;
  3. war, terrorism, sabotage, blockade, revolution, riot, insurrection, civil commotion, epidemic, pandemic; or
  4. decision of a government authority in relation to any outbreak, epidemic or pandemic,

to the extent the occurrence affects the Affected Party’s ability to perform the obligation.

If a party (Affected Party) becomes unable, wholly or in part, to carry out an obligation under this agreement (other than an obligation to pay money) due to a Force Majeure Event, the Affected Party must give to the other party prompt written notice of:
1. reasonable details of the Force Majeure Event; and
2. so far as is known, the probable extent to which the Affected Party will be unable to perform or be delayed in performing its obligation.
Subject to compliance with clause 16(b), the relevant obligation will be suspended during the Force Majeure Event to the extent that the obligation is affected by the Force Majeure Event.
The Affected Party must use its best endeavours to overcome or remove the Force Majeure Event as quickly as possible and resume performing the relevant obligation.
NOTICES
1. Any notices required to be sent under this agreement must be sent via email using the party’s email addresses set out in the Booking Form and the email’s subject heading must refer to the name and date of this agreement.
2. If no email address is stated in this agreement, the notice may be sent to the email address most commonly used by the parties to correspond in relation to this agreement at the time the notice is sent.
3. The notice will be considered to be delivered 24 hours after it was sent, unless the sender has reason to believe the email failed to send or was otherwise not delivered or received.
GENERAL
1. GOVERNING LAW AND JURISDICTION

This agreement and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with it or its subject matter or formation shall be governed by and construed in accordance with the law of England and Wales. Each party irrevocably agrees that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with this agreement or its subject matter or formation.

WAIVER

No party to this agreement may rely on the words or conduct of any other party as a waiver of any right unless the waiver is in writing and signed by the party granting the waiver.

THIRD PARTY RIGHTS

This agreement does not give rise to any rights under the Contracts (Rights of Third Parties) Act 1999 to enforce any term of this agreement.

SEVERANCE

Any term of this agreement which is wholly or partially void or unenforceable is severed to the extent that it is void or unenforceable. The validity and enforceability of the remainder of this agreement is not limited or otherwise affected.

JOINT AND SEVERAL LIABILITY

An obligation or a liability assumed by, or a right conferred on, two or more persons binds or benefits them jointly and severally.

ASSIGNMENT

A party cannot assign, novate or otherwise transfer any of its rights or obligations under this agreement without the prior written consent of the other party.

COSTS

Except as otherwise provided in this agreement, each party must pay its own costs and expenses in connection with negotiating, preparing, executing and performing this agreement.

ENTIRE AGREEMENT

This agreement embodies the entire agreement between the parties and supersedes any prior negotiation, conduct, arrangement, understanding or agreement, express or implied, in relation to the subject matter of this agreement.

INTERPRETATION
1. (singular and plural) words in the singular includes the plural (and vice versa);
2. (gender) words indicating a gender includes the corresponding words of any other gender;
3. (defined terms) if a word or phrase is given a defined meaning, any other part of speech or grammatical form of that word or phrase has a corresponding meaning;
4. (person) a reference to “person” or “you” includes an individual, the estate of an individual, a corporation, an authority, an association, consortium or joint venture (whether incorporated or unincorporated), a partnership, a trust and any other entity;
5. (party) a reference to a party includes that party’s executors, administrators, successors and permitted assigns, including persons taking by way of novation and, in the case of a trustee, includes any substituted or additional trustee;
6. (this agreement/ these terms) a reference to a party, clause, paragraph, schedule, exhibit, attachment or annexure is a reference to a party, clause, paragraph, schedule, exhibit, attachment or annexure to or of this agreement, and a reference to this agreement or these terms includes all schedules, exhibits, attachments and annexures to it;
7. (document) a reference to a document (including this agreement) is to that document as varied, novated, ratified or replaced from time to time;
8. (headings) headings and words in bold type are for convenience only and do not affect interpretation;
9. (includes) the word “includes” and similar words in any form is not a word of limitation;
10. (adverse interpretation) no provision of this agreement will be interpreted adversely to a party because that party was responsible for the preparation of this agreement or that provision;
11. (in writing or written) includes communication by email; and
12. (currency) a reference to £ or GBP is to pound sterling currency unless otherwise agreed in writing.
